Using this website, submitting an inquiry, or communicating with Wise Capital through email, phone, or the InvestNext verification portal does not create any broker-dealer, investment advisory, fiduciary, or similar professional relationship between you and Wise Capital. Any such relationship is formed only through signed subscription documents, an executed Operating Agreement, or other written engagement specifically identifying the parties and scope of the relationship.

Please do not send confidential financial information, account numbers, or other sensitive data through unencrypted email or web forms before completing accredited investor verification.

When you contact Wise Capital, we may collect:

• Email inquiries. When you email wise@investwisecap.com, we collect your name, email address, phone number if you provide it, and the content of your message.
• Phone calls. When you call Wise Capital, we keep a record of the call and the information you share.
• InvestNext accredited verification. When you begin accredited investor verification, InvestNext collects documentation needed to verify your accredited investor status under Rule 506(c) of Regulation D. InvestNext is an independent third-party service provider that handles verification on our behalf.
• Subscription documents. If you proceed with an investment, we collect the information required by the Private Placement Memorandum, Operating Agreement, and Subscription Agreement, including identity verification documentation required under federal anti-money laundering (AML) and know-your-customer (KYC) rules.
• Marketing opt-in. When you subscribe to Wise Capital communications or request to be added to our investor update list, we collect your name, email address, and any preferences you select.

Like most websites, investwisecap.com uses cookies and similar technologies that collect information such as your IP address, browser and device type, pages you visit, how you arrived at the site, and actions you take (such as clicking an email address or beginning the InvestNext verification flow). When you first visit, a cookie banner lets you accept, reject, or choose which of these tools run. These tools are provided by the following companies:

• Google (Google Analytics): to measure site traffic and operational performance. IP addresses are anonymized.
• Untitled: to match visits with other identifiers (such as an email address) to build audiences for our email marketing and investor communications. Untitled may use data from its own partners, including when you have not given that information to us directly. Untitled runs only if you choose to allow email audience matching in our cookie banner.

Wise Capital does not currently use Google Tag Manager, Google Ads, LinkedIn Insight Tag, LinkedIn Ads, Meta Pixel, The Trade Desk, or GoHighLevel on investwisecap.com. We will update this policy and our cookie banner before deploying any additional tracking or advertising tools.

Wise Capital uses collected information to:

• Respond to investor and business inquiries
• Verify accredited investor status through InvestNext
• Deliver confidential offering documents (PPM, Operating Agreement, Subscription Agreement) to verified accredited investors
• Communicate with current investors regarding Fund operations, distributions, K-1 tax reporting, and material notices required under the Operating Agreement
• Operate, secure, and improve the website
• Measure and improve how visitors engage with the website through analytics
• Send marketing communications about Wise Capital, the Wise Capital Fund, and related updates to recipients who have opted in
• Comply with federal and state securities laws, anti-money laundering (AML) rules, know-your-customer (KYC) obligations, and other legal and regulatory requirements
• Protect against fraud, unauthorized access, and other misuse

If you provide your mobile phone number and consent to receive text messages, Wise Capital may send texts related to your inquiry, verification status, or investment communications. Message and data rates may apply. Reply STOP to opt out at any time. We do not share mobile numbers or text messaging consent with third parties or affiliates for their marketing or promotional purposes.

Wise Capital does not sell your personal information. We share information only:

• With InvestNext, our third-party accredited investor verification provider
• With service providers that operate the website, analytics, and email audience matching tools listed above
• With our fund administrators, legal counsel, accountants, auditors, and other service providers that operate the Fund on our behalf
• When required by law, subpoena, court order, or regulatory inquiry (including the SEC, state securities regulators, and tax authorities)
• To protect the rights, safety, or property of Wise Capital, our investors, or others
• With your permission
• If Wise Capital is involved in a merger, acquisition, sale of all or substantially all of its assets, or a similar corporate transaction

• Cookie settings. Use the cookie banner on your first visit, or the Cookie settings link in our footer, to turn analytics and email audience matching on or off at any time. You can also block or delete cookies in your browser settings.
• Google. You can manage Google ad personalization at adssettings.google.com and opt out of Google Analytics with Google’s browser add-on.
• Interest-based advertising. If and when Wise Capital begins advertising on third-party platforms, you can opt out of interest-based advertising from participating companies at optout.aboutads.info.
• Marketing emails. Every marketing email includes an unsubscribe link. You can also email wise@investwisecap.com to be removed.
• Texts. Reply STOP to any text message.
• California residents (CCPA). If you are a California resident, you have the right to know what personal information we collect, request deletion of personal information, and opt out of the “sale” or “sharing” of personal information. To exercise these rights, email wise@investwisecap.com.

Wise Capital uses reasonable administrative, technical, and physical safeguards to protect personal information, but no method of transmission or storage over the internet is completely secure.

We retain personal information as long as needed for the purposes described in this policy and as required by federal and state securities laws, tax regulations, anti-money laundering (AML) recordkeeping obligations, and other applicable law.

This website is not directed to children under 13, and Wise Capital does not knowingly collect personal information from children under 13. All investors in the Wise Capital Fund must be 18 years of age or older and meet accredited investor eligibility requirements under federal securities law.

Wise Capital may update this Privacy Policy from time to time. The “Last updated” date at the top shows when it was last changed. Continued use of the website following any modification constitutes acceptance of the revised Privacy Policy.
